ETHDenver Terms of Service

Effective date:

This Terms of Service (“Terms”) governs participation in ETHDenver (the “Event”) and use of ETHDenver-operated websites and services, including ethdenver.com and related programs and communications (collectively, the “Service”). By clicking “I Accept,” registering for, accessing, or using the Service, you agree to these Terms, our Privacy Policy, and the Contributor Agreement (collectively, the “Terms”). If you do not agree or are ineligible, do not attend the Event or use the Service.

Arbitration Notice. Except as described in Section 11, disputes are resolved by binding, individual arbitration. You waive the right to a jury trial and to participate in a class action.

1. Rules and Eligibility

  1. Eligibility. You must be 18+ (or have verified parental/guardian consent per Section 12). Some programming may require 21+. If you register on behalf of an entity, you represent you have authority to bind it.
  2. Registration & Communications. Use a regularly monitored email and do not unsubscribe from essential Event communications. If you register another person, you represent you have authority to bind them and will indemnify ETHDenver for misrepresentation.
  3. SporkDAO Membership & Tickets. ETHDenver is community-funded and owned by SporkDAO, LCA. Attendance may be free for SporkDAO members under then-current membership terms; non-members may be required to purchase a non-member ticket. Prices/availability are as posted on the Site and are non-refundable and non-transferable unless stated otherwise.
  4. Accurate Information. False or misleading information (e.g., identity, student status) is grounds for denial or revocation of access and prizes, and for recovery of damages.
  5. Privacy. We do not sell personal information. Processing is described in the Privacy Policy, incorporated by reference.
  6. Optional Sponsor Opt-In. If you opt in during registration (see attendee information notice), we may share limited registration details and relevant submission info with sponsors/partners, who may contact you during and after the Event. Opt-in is voluntary and revocable.
  7. Venue & Safety Rules. You must follow all facility rules and safety instructions. Reckless or negligent behavior is prohibited.
  8. Badges. Badges are personal, must be worn visibly, and are not shareable or transferable. Replacement badges (if available) may incur posted replacement fees; exceptions require executive approval.

2. Code of Conduct

  1. Respect. ETHDenver is a collaborative community. All participants must act with respect and courtesy.
  2. Harassment. Harassment is prohibited (including offensive conduct related to protected characteristics; stalking; intimidation; non-consensual contact; sexual imagery in public spaces; and unwelcome sexual advances). Stop immediately upon request or be removed.
  3. Prohibited Conduct. You agree not to: (a) violate law; (b) harass or harm others; (c) infringe IP rights; (d) access or use the Service via scrapers/robots not provided by ETHDenver; (e) tamper with security or reverse engineer except as allowed by law; (f) disrupt networks/equipment (including malware, unsolicited offers, rogue Wi-Fi/APs/DHCP); (g) commit fraud/impersonation; (h) sell/transfer access or ETHDenver materials; or (i) attempt/assist any of the foregoing.
  4. Drugs, Alcohol, Weapons. Illegal drugs and weapons are prohibited. Personal alcohol is prohibited; venue-authorized service only and 21+ ID required. Bags may be inspected. Violations may result in expulsion without refund.
  5. Enforcement. ETHDenver may take any action deemed appropriate, including warnings, removal, and future bans.

3. Recording; Likeness

  1. Notice. Organizers and media may record the Event via photo/video/audio and other media.
  2. Use. You grant the Organizers a perpetual, worldwide, royalty-free license to use your likeness, voice, and images captured at the Event for ETHDenver/SporkDAO promotional and archival purposes, in any media, with the right to edit and adapt.
  3. Ownership. ETHDenver/Organizers own all materials in which your images appear.
  4. Waiver/Release. You waive rights of approval and release the Releasees (as defined in Section 10) from claims arising out of such use, to the fullest extent permitted by law.

4. Intellectual Property

  1. Your Developments. You own what you create at ETHDenver. Third-party materials (e.g., sponsor APIs/SDKs) are subject to their licenses; no ownership is transferred to you.
  2. Sharing at Your Discretion. Protect confidential information through your own agreements; ETHDenver has no responsibility for disclosures you choose to make.
  3. ETHDenver Materials. The Service (code, content, design) is protected by law and owned by ETHDenver or its licensors. No implied licenses.
  4. Marks. ETHDenver and third-party marks may not be used without permission. All goodwill inures to the respective owners.

5. Fees; Payments; Prizes

  1. Fees. We may charge for certain Services. Prices may change. Fees are in USD and generally non-refundable unless stated otherwise.
  2. Payment Info. You must provide accurate payment details and authorize charges, including taxes and, where applicable, recurring charges until cancellation under posted terms.
  3. Processors. Payments may be processed by Stripe or other processors subject to their terms. Pre-authorization, KYC/AML, and processor failures are outside our control.
  4. Errors. We may correct pricing errors and refuse orders.
  5. Off-Platform Transactions. External transactions are at your risk.
  6. Prizes & Taxes. Prizes are taxable income. KYC/AML may be required. Consult your tax advisor. Any guidelines we publish are informational only, not tax advice.

6. Digital Wallets

  1. Access. Some features may require a supported crypto wallet (e.g., MetaMask). You authorize ETHDenver to interact with the wallet as necessary to provide the Service. You are responsible for wallet security.
  2. Ownership. You represent the wallet you use is owned/controlled by you (or authorized fiduciary).
  3. Phishing & Fraud. Beware of phishing and fraudulent links. You are solely responsible for losses from third-party links, even if impersonating ETHDenver.

7. Licenses & Feedback

  1. Limited License. Subject to compliance, ETHDenver grants a limited, revocable, non-transferable license to access/use the Service and install one copy of any app on a device you own.
  2. Restrictions. Do not reproduce, modify, or circumvent security features except where permitted by law.
  3. Feedback. You grant ETHDenver a perpetual, irrevocable, royalty-free license to use feedback without obligation of attribution or compensation.

8. Third-Party Terms

  1. Linked Services. You may export/share information to third-party services at your direction. Those services are not under our control; review their terms and privacy policies.
  2. Third-Party Components. Open-source and other components remain subject to their licenses.

9. User Content

  1. Ownership. You retain rights in User Content subject to the licenses granted here.
  2. Representations. You have necessary rights/permissions; your content does not violate law or third-party rights.
  3. License to ETHDenver. You grant ETHDenver a worldwide, non-exclusive, royalty-free license to use, host, reproduce, adapt, publish, and display your User Content to operate and promote the Service.
  4. Photos/Images. Posting images that depict individuals grants those depicted a personal, non-commercial license to share/display the image; not for third-party promotion or resale.
  5. Moderation. We may, but need not, monitor or remove content at our discretion. You may encounter content you find objectionable.

10. Disclaimers; Liability; Indemnity

  1. “As Is”. The Service is provided “as is/as available” without warranties, express or implied (merchantability, fitness, non-infringement, quiet enjoyment). We do not ensure uninterrupted, secure, or error-free operation.
  2. Indemnity. To the fullest extent permitted by law, you will defend, indemnify, and hold harmless ETHDenver LLC, SporkDAO LCA, Bufficorn Ventures LLC, the National Western Complex, sponsors, vendors, volunteers, service providers, agents, employees, officers, directors, and affiliates (collectively, the “Releasees”) from claims arising out of (a) your misuse of the Service; (b) breach of these Terms or law; (c) your negligence, misconduct, or violation of third-party rights; or (d) disputes between you and others.
  3. Release & Assumption of Risk. You attend at your own risk, including risks associated with crowds, equipment, food, stairs, illness (including infectious diseases), and third-party acts/omissions. You release the Releasees from related claims to the fullest extent permitted by law.
  4. Limitation of Liability. To the maximum extent permitted by law: (a) no Releasee is liable for indirect, incidental, special, consequential, or punitive damages; (b) aggregate liability is limited to the amounts you paid to ETHDenver for the Service giving rise to the claim.
  5. Basis of Bargain. These limitations allocate risk and survive termination.

11. Dispute Resolution & Arbitration

  1. Agreement to Arbitrate. Except as in 11.2–11.3, disputes will be resolved by binding arbitration under the JAMS Consumer Arbitration Rules, administered under the Federal Arbitration Act.
  2. Exceptions. Small-claims actions; agency enforcement; injunctive relief in aid of arbitration; and IP claims in court.
  3. Opt-Out. You may opt out within 30 days of accepting these Terms by mailing a signed notice to: ETHDenver, LLC – Legal (Arbitration Opt-Out), 3900 E. Mexico Ave., Suite 300, Denver, CO 80210 including your full name, email, and a statement opting out. If you opt out, this Section 11 is void and Section 14.3 governs venue.
  4. Process. Before filing, send a Notice of Arbitration by certified mail/FedEx to the address above describing the claim and relief sought. If unresolved after 30 days, either party may commence arbitration. Fees/costs are allocated per JAMS Rules; frivolous claims may shift fees.
  5. Venue & Format. Hearings will occur in your billing-address county unless otherwise agreed; for claims ≤ US$10,000 (non-injunctive), you may elect documents-only or telephonic/video hearing.
  6. Relief; No Class Actions. Arbitrator may award relief available in court. No class or representative proceedings and no consolidation without all parties’ consent.
  7. Changes. Substantive changes to this arbitration provision may be rejected within 30 days by written notice; then your account terminates and the prior provision survives for pre-change disputes.
  8. Severability. If 11.6 or all of Section 11 is unenforceable, or you opt out, Section 14.3 governs.

12. Under-18 Participants

  1. Consent. A parent/legal guardian must consent on behalf of minors.
  2. Supervision. Minors must be accompanied by a parent/guardian at all times; verification occurs during registration.
  3. Compliance & Risk. Minors must follow all rules. Guardians are responsible for damages caused by minors.

13. Copyright (DMCA)

  1. Notices. We comply with the DMCA (17 U.S.C. §512). Send notices to: ETHDenver, LLC – Launch Legal (IP Notification), 3900 E. Mexico Ave., Suite 300, Denver, CO 80210; [email protected] with all required elements.
  2. Misrepresentation. Knowingly false notices/counter-notices may incur liability under 17 U.S.C. §512(f).

14. Miscellaneous

  1. Entire Agreement. These Terms, the Privacy Policy, Contributor Agreement , and posted Additional Terms are the entire agreement and supersede prior understandings.
  2. Waiver/Severability. No waiver of breach is a waiver of subsequent breaches. Unenforceable terms are enforced to the maximum extent; the remainder remains effective.
  3. Governing Law & Venue. Colorado law (conflict rules excluded) governs. Subject to Section 11, the exclusive venue is state/federal courts in Denver, Colorado.
  4. Additional Terms. Features may be subject to posted Additional Terms, incorporated by reference.
  5. No Agency. These Terms do not create an agency, partnership, or employment relationship.
  6. E-Sign Consent. You consent to receive notices and disclosures electronically, satisfying any legal “writing” requirements.
  7. International Use. The Service targets U.S. users; access where illegal is prohibited.
  8. Modifications. We may update these Terms and/or discontinue/modify features. Continued use constitutes acceptance of the modified Terms. No change applies retroactively to disputes that arose before the change.
  9. Force Majeure. ETHDenver is not liable for delays/failures due to events beyond reasonable control (e.g., acts of God, public health emergencies, government orders, labor disputes, internet outages).
  10. Anons. It is important to remember that we do our best to accommodate all people in our community. We welcome anons to apply and attend, however, our insurance provider does require us to gather basic information and verify your identity when checking in on-site for liability reasons. We've done our best to cut down required information to a minimum and will never share it without your express permission or if compelled by a court order. All accepted applicants, anon or otherwise, will be required to provide a government-issued photo identification that matches your ticket at check-in.

Communications Policy Addendum (Incorporated)

This addendum forms part of the Terms.

  1. Scope. Covers email, SMS/MMS, voice, push, in-app, platform DMs, on-site/emergency alerts.
  2. Consent Standards. We follow CAN-SPAM for email, TCPA for SMS in the U.S., and apply GDPR/UK-GDPR/CASL where applicable. Email/SMS is sent via ActiveCampaign and/or its compliant integrations. Each marketing email includes a working unsubscribe link; SMS requires express written consent. Consent is not a condition of purchase or event entry.
  3. Types of Messages. (a) Transactional/operational (non-marketing); (b) relationship/service; (c) marketing/community.
  4. Frequency & Quiet Hours. Reasonable, purpose-driven frequency; target quiet hours 8:00 PM–8:00 AM local time except for safety/urgent operations.
  5. Your Choices. Email: use Unsubscribe (processed within 10 business days). SMS: reply STOP to cancel; HELP for help. Message/data rates may apply. Carriers not liable for delayed/undelivered messages. Preference center may be provided to refine topics/channels.
  6. Data Use. We use contact and participation data you provide (role, ticketing status, program selections) and basic engagement metadata to improve deliverability/relevance. We do not sell personal data.
  7. Providers. Message delivery/analytics may involve vetted processors bound by contract to safeguard data and act only on our instructions.
  8. Retention. We retain consent and communication logs only as long as necessary for legal/operational/security purposes.
  9. Emergency Communications. We may send time-sensitive alerts for safety, venue changes, severe weather, or material policy updates.

SMS Program Disclosures (if enabled)

  • Opt-In: By subscribing, you consent to receive recurring messages from ETHDenver at the mobile number provided. Consent not a condition of purchase.
  • Opt-Out: Reply STOP to cancel; HELP for help. Msg & data rates may apply. Carriers are not liable for delayed/undelivered messages.
  • Frequency: Varies by program; higher volume possible during event week.
  • Privacy: See the Privacy Policy.
